Terms of Service

Pentfield Technologies reserves the right to amend this TOS or terminate access to the Service for any violation of these terms or applicable laws. Pentfield Technologies reserves the right to refuse service to anyone in accordance with applicable laws.

01 Description of Services & Platform Architecture

Throughout this TOS, the software, web portals, native mobile applications (Android and iOS), cloud APIs, messaging systems, directory features, and related community management modules provided by Pentfield Technologies are collectively referred to as the "Service" or "FamilyHub 247".

FamilyHub 247 operates as a multi-tenant cloud software platform designed to empower cultural associations, town unions, alumni chapters, professional societies, religious groups, and family networks to manage membership databases, host public association websites, broadcast announcements, coordinate events, facilitate secure member-to-member communications, and process association dues and levies.

Certain aspects of the Service rely upon reputable third-party cloud infrastructure, telecommunication gateways, and payment partners (including Google Cloud, Firebase, Paystack, and push notification networks). These third parties may reserve the right to make modifications to their respective services. Pentfield Technologies is not liable for temporary service interruptions or changes initiated by such third-party providers.

02 Eligibility & Account Registration

To access or register an account on FamilyHub 247, you must be at least 18 years of age or the legal age of majority in your jurisdiction, or have the express consent and supervision of a parent, legal guardian, or authorized association administrator.

You agree to provide accurate, current, and complete information during registration and to promptly update your contact details as changes occur. You agree to provide a valid, active email address and mobile telephone number that you monitor on a regular basis. Pentfield Technologies is not liable for any misdirected communications, missed notices, or damages resulting from outdated or inaccurate contact details provided by you.

You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and verification codes (OTP). You agree to notify Pentfield Technologies immediately of any unauthorized use or security compromise of your account.

03 Association Governance & Executive Authority

Each association, union, or community on FamilyHub 247 is an independent entity governed by its designated administrators and executive officers (such as President, Secretary, and Financial Secretary). Pentfield Technologies acts strictly as an independent technology service provider and is not a trustee, officer, director, partner, or legal representative of any association hosted on the platform.

Pentfield Technologies does not arbitrate internal association politics, leadership succession disputes, constitutional amendments, election results, or membership admission decisions. Executive officers who register and administer associations on FamilyHub 247 warrant that they possess full legal authority from their association to enter into agreements, collect dues, manage member data, and publish official communications.

04 Financial Dues, Levies, & Payment Processing

FamilyHub 247 provides software integration with licensed payment processors (including Paystack) to enable associations to collect membership dues, event levies, welfare pledges, and development fees.

Pentfield Technologies accepts no responsibility or liability for:

• Disputes between members and association leadership regarding the purpose, validity, or amount of any dues or levies;
• Refund requests for contributions or dues paid to an association (all refund requests must be addressed directly to the recipient association);
• Any financial mismanagement, embezzlement, or misappropriation of funds by association executives.

05 Association Subscriptions, Renewals, & Cancellations

Associations utilizing premium hosting, custom storage tiers, or advanced management modules are billed according to published subscription plans. Association administrators are responsible for managing their association subscription and renewal via the platform administrative dashboard.

Cancellation: Association administrators may cancel their association platform subscription by submitting a formal request to accounts@pentfieldtechnologies.com. Cancellations become effective once processed by our accounting team. Unless explicitly agreed in writing or required by applicable consumer protection laws, subscription fees paid for platform hosting and cloud storage are non-refundable.

Service Credits: Any service credits issued to an association account are non-cashable, non-transferable, and may solely be applied against future subscription fees assessed by Pentfield Technologies.

Non-Payment: Platform subscription payments are due on the designated anniversary or renewal date. Delinquency exceeding ten (10) consecutive days may result in administrative suspension of association features. Delinquency exceeding twenty-five (25) consecutive days may result in termination of hosting services. Prior to permanent removal of inactive association records, administrators will be notified and given the opportunity to resolve outstanding balances or export their public association archives.

06 Acceptable Use Policy & Community Standards

FamilyHub 247 is built to foster connected, supportive, and dignified communities. You agree not to upload, post, transmit, or share any Member Content, chat messages, images, documents, or links that:

• Are unlawful, fraudulent, defamatory, libelous, harassing, abusive, threatening, or infringing upon the privacy rights of others;
• Child Sexual Abuse Material (CSAM) / Child Sexual Exploitation and Abuse (CSAE): We enforce an absolute ZERO TOLERANCE policy against any material or behavior that harms, depicts, or exploits children. Any violation will result in immediate and permanent account termination, device blocking, and mandatory reporting to law enforcement and child protection authorities;
• Promote hatred, violence, discrimination, or intolerance based on race, ethnicity, nationality, religion, disability, gender, or sexual orientation;
• Contain computer viruses, Trojan horses, malware, spyware, phishing links, or code intended to disrupt or damage software, servers, or telecommunications networks;
• Constitute unsolicited bulk communications, spam, pyramid schemes, or unauthorized commercial advertisements;
• Attempt to probe, scan, or test the vulnerability of our systems or networks, or breach security or authentication mechanisms;
• Involve scraping, automated harvesting, crawling, or extracting data from member directories without express written permission.

Pentfield Technologies provides in-app reporting and user blocking mechanisms. We reserve the unconditional right (but assume no obligation) to investigate violations, remove offensive content, and suspend or terminate offending accounts without notice.

07 User Content & Intellectual Property Rights

Ownership of Member Content: You retain full copyright and ownership of the text, photographs, profile biographies, announcements, and documents you submit to FamilyHub 247 ("Member Content").

License to Pentfield Technologies: By submitting Member Content to the Service, you grant Pentfield Technologies a worldwide, royalty-free, non-exclusive license to host, store, cache, reproduce, format, and transmit such content solely as required to provide, display, maintain, and secure the Service for you and your association. This license terminates when your content or account is deleted from our systems.

Pentfield Intellectual Property: The FamilyHub 247 platform, mobile applications, software algorithms, design interfaces, database architectures, trademarks, logos, and proprietary documentation are the exclusive property of Pentfield Technologies and its licensors. You may not copy, modify, distribute, sell, decompile, or reverse engineer any part of the platform without our prior written consent.

08 Mobile Application Stores (Google Play & Apple App Store)

When you download or access the FamilyHub 247 mobile application through Google Play Store or Apple App Store, you acknowledge and agree that:

• This TOS agreement is concluded between you and Pentfield Technologies only, and not with Google LLC or Apple Inc.;
• Google LLC and Apple Inc. have no obligation whatsoever to furnish any maintenance or support services with respect to the FamilyHub 247 app;
• Google LLC and Apple Inc. are not responsible for addressing any claims by you or any third party relating to the mobile app, including product liability claims, consumer protection claims, or intellectual property infringement claims;
• You must comply with all applicable third-party platform terms and conditions when using the mobile application.

09 Account Deletion & Data Rights

In compliance with global data protection regulations (including the Nigeria Data Protection Act / NDPR, GDPR) and mobile app store requirements, you have the right to delete your FamilyHub 247 account and personal data at any time.

You can initiate self-service account deletion directly within the mobile application by navigating to My Profile → Delete Account, or through our public web portal at https://familyhub247.com/delete-account.

Upon confirmed account deletion, your personal authentication credentials, profile information, phone numbers, addresses, and directory listings are permanently scrubbed. In accordance with statutory financial regulations and association audit standards, historical payment ledgers (such as dues previously collected) are retained in an anonymized format (attributed to [Deleted User]) to safeguard financial integrity.

You agree to defend, indemnify, and hold harmless Pentfield Technologies, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal and attorney fees) arising from:

1. Your use of and access to FamilyHub 247;
2. Your violation of any provision of this Terms of Service;
3. Your violation of any third-party right, including without limitation any intellectual property, privacy, or publicity right;
4. Any claim that your Member Content caused damage to a third party or fellow association member;
5. Any dispute between you and any association, chapter, executive committee, or member.

13 Force Majeure

Neither party shall be held liable for any default or delay in the performance of its obligations under this TOS (excluding payment obligations) if such default or delay is caused, directly or indirectly, by forces beyond reasonable control, including acts of God, fire, flood, labor disputes, accidents, pandemics, civil unrest, acts of government, interruptions of telecommunications, electrical blackouts, or cloud hosting disruptions.

14 Governing Law & Dispute Resolution

This Agreement shall be governed in all respects by the Laws of the Federal Republic of Nigeria.

In the event of any controversy, claim, or dispute arising out of or relating to this Agreement, the parties shall first attempt in good faith to resolve the dispute through amicable consultation. If the dispute is not settled within thirty (30) calendar days, either party may submit the dispute to the exclusive jurisdiction of the competent courts of Nigeria.

15 Entire Agreement, Severability, & Assignment

This TOS, together with the Pentfield Privacy Policy and incorporated platform guidelines, constitutes the entire agreement between you and Pentfield Technologies regarding FamilyHub 247, superseding any prior agreements or understandings.

If any provision of this TOS is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

You may not assign or transfer your rights or obligations under this TOS without prior written consent from Pentfield Technologies. Pentfield Technologies may assign or transfer its rights and obligations under this Agreement in connection with a corporate reorganization, merger, acquisition, or sale of assets.
